Companies restructure to reduce liabilities, taxes

A group of manufacturing companies owned multiple operating and non-operating entities with several shareholders. The companies needed to limit their liabilities and reduce taxes.

Waller restructured the entities using trusts, LLCs and special purpose entities in order to limit the companies’ liabilities and reduce their taxes.

Ellwood City Hospital is acquired by Americore Health LLC

Ellwood City Hospital in Pennsylvania was acquired by Florida-based Americore Health LLC and was renamed the Ellwood Medical Center. The ownership change also means an eventual windfall for local tax coffers because of the facility’s conversion to a for-profit hospital.

Waller provided legal advice to Ellwood City Hospital, including transaction, healthcare regulatory and tax counsel, throughout the hospital’s process to explore various forms of partnerships with other systems.

Family business converts to C corporation

A large family-owned business faced the decision of whether or not to convert the business from an S corporation to a C corporation and needed guidance on how to manage the family investments in the most tax efficient manner.

Waller provided detailed analysis and tax advice on the decision of whether to convert the family business from an S corporation to a C corporation. Ultimately, Waller help make the decision and assisted with the conversion to a C corporation. Waller also advised on the structure for handling distributions from the family business to family members to be invested through the family office. Additionally, Waller provided tax advice and structuring of family office to manage family investments in the most tax efficient manner.
